CONTENT DISTRIBUTION AND RIGHTS AGREEMENT

This Agreement is entered into by:

(hereinafter referred to as “eZWay”)

Collectively referred to as the “Parties

1. Ownership and Rights

The Producer retains all rights, title, and interest in and to the content provided to eZWay (the “Content”). Nothing in this Agreement shall transfer or assign any intellectual property rights or ownership of the Content to eZWay.

2. License to Distribute

The Producer grants eZWay explicit permission to:
• Air the Content on eZWayTV and any other platforms eZWay deems appropriate,
• Sell and monetize advertising space during or around the Producer’s Content,
• Promote and market the Content.

This license is non-exclusive, royalty-based, and revocable under the terms outlined herein.

3. Advertising Revenue

eZWay shall pay the Producer fifty percent (50%) of the net revenue generated from advertising sold specifically on the Producer’s Content. Payment shall be made to the Producer within 3 (3) months of receipt of advertising revenue.

“Net revenue” is defined as gross revenue received by eZWay from advertisers, minus direct expenses associated with advertising placement (e.g., processing fees, third-party commission costs).

4. Marketing and Promotion

eZWay agrees to promote and market the Content through eZWay Promotions and its network. The Producer agrees to actively participate in the marketing of their Content, including but not limited to:
• Posting to all available social media platforms,
• Sending email and text campaigns,
• Utilizing any and all available marketing methods and channels.

5. Legal Responsibility

The Producer is solely responsible for the Content and any legal liabilities arising from it. This includes, but is not limited to, claims related to copyright infringement, defamation, obscenity, or any unlawful material.

eZWay shall not be held responsible or liable for any legal claims or actions arising from the airing or distribution of the Producer’s Content.

6. Governing Law

This Agreement shall be governed by, and construed in accordance with, the laws of the State of California, without regard to conflict of laws principles.

7. Arbitration Clause

Any dispute, controversy, or claim arising out of or relating to this Agreement, or the breach thereof, shall be resolved exclusively by binding arbitration in Los Angeles County, California, in accordance with the rules of the American Arbitration Association (AAA). The decision of the arbitrator shall be final and binding on the parties, and judgment upon the award rendered by the arbitrator may be entered in any court having jurisdiction.

Each party shall bear its own costs and attorney’s fees, unless otherwise determined by the arbitrator.

8. Term and Termination

This Agreement shall remain in effect for a period of one (1) year from the Effective Date. After the initial term, the Agreement may be renewed or extended upon mutual written agreement by both Parties.

Either party may terminate this Agreement prior to the end of the term with 30 days’ written notice. eZWay may remove the Content immediately upon written notice if it violates any applicable law or regulation, or if it subjects eZWay to reputational harm or legal risk.

9. Miscellaneous

• This Agreement constitutes the entire understanding between the Parties.
• Any amendments must be in writing and signed by both Parties.
• If any part of this Agreement is deemed unenforceable, the remainder shall remain in full force and effect.
