Independent Contractor Agreement

1. Scope of Work

The Contractor agrees to perform the services described in an attached Statement of Work or as otherwise agreed upon in writing by both parties. The Contractor shall determine the method, details, and means of performing the services.

2. Relationship of the Parties

Nothing in this Agreement shall be construed to create a partnership, joint venture, employer-employee, or agency relationship. The Contractor is engaged as an independent contractor and is solely responsible for all taxes, withholdings, insurance, and any other obligations.

3. Compensation

The Contractor shall be compensated as agreed upon in writing by both parties. All payments shall be made in accordance with the terms outlined in the Statement of Work or other mutually accepted written agreements.

4. Confidentiality and Non-Disclosure

The Contractor agrees to maintain the confidentiality of any proprietary or confidential information shared during the term of the engagement. This includes, but is not limited to, business plans, client lists, intellectual property, financial data, and trade secrets.

5. Non-Circumvention

The Contractor agrees not to circumvent the Company in any business relationships or opportunities introduced during the course of this agreement. Any such opportunities shall be pursued only with the Company’s knowledge and written consent.

6. Term and Termination

This Agreement shall remain in effect until the services are completed or until terminated by either party with 14 days written notice. Upon termination, the Contractor shall return all materials and confidential information belonging to the Company.

7. Indemnification

The Contractor agrees to indemnify and hold harmless the Company from any claims, losses, or liabilities arising from the Contractor’s actions, negligence, or failure to comply with the terms of this Agreement.
