These Terms and Conditions and Privacy Policy govern the website, platform, memberships, programs, events, promotional services, media services, SMS messaging program, directories, networking opportunities, digital products, consulting services, development services, and all other products and services provided by EZWAY BROADCASTING INC. d/b/a eZWay Network.

Your mobile carrier may charge fees for sending or receiving text messages, especially if your mobile plan does not include unlimited texting or data.

24. Acceptance of Terms

You are responsible for complying with all applicable local, state, federal, national, and international laws.

If you disagree with these terms, you are prohibited from accessing or using eZWay Network services, resources, materials, contacts, directories, or intellectual property.

25. Corporate and Trademark Identity

EZWAY BROADCASTING INC. is a California corporation doing business as eZWay Network.

The names, logos, brands, slogans, program names, designs, materials, and marks associated with:

  • eZWay

  • eZWay Network

  • eZWay Broadcasting

  • eZWay Wall of Fame

  • Related products, events, media properties, and services

are proprietary intellectual property and may be protected by trademark, copyright, unfair-competition, and other applicable laws.

No person may use, copy, publish, reproduce, alter, distribute, display, promote, or commercially exploit eZWay Network’s names, marks, logos, materials, systems, or brand identity without express written permission.

26. Use License

Permission may be granted to temporarily access or download one copy of materials from the eZWay Network website for personal, non-commercial, transitory viewing.

This is a limited license and not a transfer of ownership.

Under this license, users may not:

  • Modify the materials

  • Copy the materials

  • Use the materials for a commercial purpose

  • Publicly display the materials without authorization

  • Reverse-engineer software

  • Scrape or extract platform data

  • Remove copyright or proprietary notices

  • Transfer materials to another person

  • Mirror materials on another server

  • Duplicate internal systems or strategies

eZWay Network may terminate access upon any violation.

Upon termination, the user must destroy downloaded or copied materials in their possession.

27. Account Usage Rights

Account holders authorize eZWay Network, when necessary to provide contracted services, to assist with managing approved accounts, profiles, content, campaigns, postings, platform settings, or related digital assets.

This may include logging into or posting through an account when authorized by the account holder or when reasonably necessary to perform agreed services.

Users are responsible for providing accurate account information and protecting login credentials.

28. Third-Party Services and Technology

eZWay Network services may depend on third-party applications, hosting providers, social platforms, plugins, payment systems, SMS providers, media platforms, APIs, or technology services.

These providers may experience:

  • Updates

  • Errors

  • Service interruptions

  • Outages

  • Security incidents

  • Policy changes

  • Feature removals

  • Account restrictions

  • Technical incompatibilities

eZWay Network is not responsible for disruptions or losses caused by third-party systems outside its reasonable control.


PART IV — SERVICES, PROMOTIONS, AND CLIENT RESPONSIBILITIES

29. Promotional and Lead-Generation Services

eZWay Network may provide:

  • Promotional work

  • Brand awareness

  • Advertising

  • Lead generation

  • Publicity

  • Media exposure

  • Networking introductions

  • Social-media promotion

  • Content distribution

  • Website development

  • Marketing support

  • Consulting

  • Branding

  • Event participation

  • Media appearances

  • Platform visibility

eZWay Network does not guarantee:

  • Sales

  • Revenue

  • Contracts

  • Sponsorships

  • Partnerships

  • Media placement

  • Search-engine rankings

  • Lead conversion

  • Audience growth

  • Viral exposure

  • Business success

  • Financial return

The client is solely responsible for:

  • Following up with leads

  • Closing sales

  • Maintaining customer relationships

  • Managing offers

  • Operating sales funnels

  • Retaining leads

  • Complying with applicable laws

  • Delivering the client’s own goods or services

  • Maintaining accurate business information

eZWay Network’s responsibility is limited to performing the services described in the applicable agreement, invoice, campaign, membership plan, or service package.

30. Client Brand and Likeness Authorization

During a campaign or service relationship, the client authorizes eZWay Network to use and promote the client’s:

  • Name

  • Brand

  • Company name

  • Logo

  • Likeness

  • Image

  • Biography

  • Voice

  • Videos

  • Testimonials

  • Promotional content

  • Publicly supplied materials

as reasonably necessary to perform and promote the contracted campaign, program, event, membership, media feature, or service.

Clients may provide reasonable brand guidelines. eZWay Network will make reasonable efforts to follow accepted guidelines but retains reasonable creative discretion in performing promotional services.


PART V — BILLING, MEMBERSHIP, CANCELLATION, AND REFUNDS

31. Billing Authorization

By purchasing a service, activating an account, enrolling in a membership, or authorizing a payment plan, the client grants eZWay Network permission to charge the payment method provided.

This authorization may include:

  • Initial charges

  • Recurring monthly charges

  • Annual membership charges

  • Installment payments

  • Late fees

  • Contractually authorized balances

  • Other amounts described in an invoice, agreement, order form, or membership plan

Subscription plans require a valid payment method to remain on file.

32. Membership Commitment

Any eZWay Upgraded Membership or similar development-based membership program may require a one-year commitment unless otherwise stated in writing.

The client understands that these memberships may involve:

  • Brand development

  • Artist development

  • Media placement

  • Platform access

  • Promotional services

  • Content development

  • Networking services

  • Ongoing consulting

  • Team labor

  • Third-party services

  • Campaign planning

The annual commitment remains binding for the agreed term.

After the initial one-year term, the client may choose whether to renew, subject to the applicable renewal terms.

33. Cancellation of Membership

Clients must cancel their eZWay Network account and provide any required written notice before stopping or disputing billing.

If a client cancels before completing the agreed one-year term, the applicable cancellation amount may be:

  • $1,000; or

  • The remaining balance owed under the agreement,

whichever amount is stated in the applicable written agreement, invoice, enrollment form, or membership terms.

Cancellation may result in loss of platform benefits, including:

  • Online friends

  • Followers

  • Profile visibility

  • Promotional content

  • Directory access

  • Media credits

  • Platform-generated posts

  • Search-engine exposure

  • Rankings

  • Membership privileges

  • Other benefits associated with the account

34. Cancellation of Services

Because services may involve planning, research, development, team labor, media scheduling, subcontractors, vendors, and third-party service providers, cancellations should be submitted at least 30 days in advance and in writing.

Approved cancellations submitted at least 30 days before work begins may qualify for service credit, subject to the applicable agreement.

Cash refunds are not offered unless required by applicable law or expressly approved in writing.

If bundled or discounted services are canceled, previously delivered services may be recalculated at their standard retail rates rather than the bundled membership rate.

35. Refund Policy

All sales are final once:

  • Services have been rendered

  • Development has begun

  • Deployment has begun

  • Promotional work has begun

  • Campaign planning has begun

  • Platform access has been provided

  • Membership benefits have been activated

  • Custom work has commenced

  • Third-party costs have been incurred

eZWay Network does not provide cash refunds for completed, commenced, customized, promotional, development, membership, consulting, media, event, or platform services except where required by law or expressly agreed in writing.

Where approved, service credit may be issued instead of a cash refund.

36. Past-Due Accounts and Late Fees

If an account is more than seven days past due, a late fee of $29.99 may be added.

After 30 days of non-payment, eZWay Network may:

  • Suspend services

  • Restrict account access

  • Terminate membership privileges

  • Stop campaign work

  • Send the account to collections

  • Refer invoices or balances to a collections agency

  • Exercise other contractual remedies

Collection activity may negatively affect the client’s credit where legally permitted.

37. Chargebacks and Payment Disputes

Clients agree to contact eZWay Network directly to attempt to resolve billing issues before initiating a chargeback.

Custom services involve human labor, planning, development, strategy, third-party costs, and non-returnable work.

To the extent permitted by law and enforceable under the applicable agreement, clients agree not to initiate improper or fraudulent chargebacks for services already performed or made available.

Where expressly agreed in a signed contract, invoice, payment authorization, or enrollment agreement, a chargeback-related administrative fee may apply to cover research, documentation, legal consultation, banking correspondence, and dispute preparation.

Any such fee will apply only to the extent permitted by applicable law and the applicable written agreement.

38. Card Charge Authorization

Where separately authorized in a signed agreement or valid payment authorization, the client authorizes eZWay Network to charge the payment method on file for amounts properly due under the applicable agreement.

This provision does not authorize charges prohibited by applicable payment-network rules or law.

39. Dispute Resolution and Mediation

The parties agree to make a good-faith effort to resolve disputes directly.

Where appropriate, disputes may be submitted to mediation at a mutually agreed venue or through a mutually agreed communication platform before litigation, subject to the applicable written agreement and applicable law.


PART VI — MEMBERSHIP CONDUCT

40. Respectful Engagement

Members must treat one another, eZWay Network staff, partners, affiliates, vendors, speakers, guests, and other participants respectfully and professionally.

The following conduct may result in suspension or termination:

  • Harassment

  • Threats

  • Abuse

  • Discrimination

  • Slander

  • Libel

  • Defamation

  • Knowingly false statements

  • Harmful or malicious content

  • Intimidation

  • Hostile conduct

  • Unprofessional behavior

  • Interference with another member’s business or participation

Legitimate, good-faith complaints, legally protected speech, reports of unlawful conduct, and truthful reviews are not prohibited merely because they are unfavorable.

41. Anti-Spam Policy

Members are encouraged to connect, network, promote their work, and share opportunities in a reasonable manner.

Spamming is prohibited.

Prohibited conduct may include:

  • Repeated unsolicited posting

  • Repeated posting on another member’s content

  • Repeated unsolicited emails

  • Mass messaging without permission

  • Scraping member contact information

  • Repeatedly advertising the same offer

  • Automated outreach

  • Harassing follow-ups

  • Using directory information for unrelated mass solicitation

eZWay Network may use a warning system, including a three-strike process, but reserves the right to take immediate action for serious or repeated violations.

42. Account Suspension and Removal

eZWay Network may suspend, restrict, cancel, or permanently remove access when a member violates:

  • These Terms and Conditions

  • The Code of Conduct

  • Payment obligations

  • Intellectual-property rules

  • Privacy obligations

  • Directory restrictions

  • Anti-spam rules

  • Confidentiality obligations

  • Platform rules

  • Applicable law

Removal may include loss of:

  • Profile access

  • Platform content

  • Directory access

  • Followers

  • Connections

  • Media features

  • Posts

  • Promotional content

  • Search visibility

  • Membership benefits

  • Other account-based resources

Unless prohibited by law or the applicable written agreement, removal for misconduct does not automatically eliminate outstanding payment obligations under an agreed annual commitment.


PART VII — DIRECTORY, CONTACTS, AND NETWORKING

43. Directory and Contact-List Restrictions

The eZWay Directory and associated contact information are provided only for legitimate networking purposes among authorized members.

Users may not:

  • Sell directory data

  • Share directory data

  • Distribute contact lists

  • Scrape member information

  • Farm contact information

  • Export contacts without authorization

  • Use member data for unsolicited mass marketing

  • Repurpose contact information outside approved eZWay activities

  • Upload directory information to another platform

  • Create competing databases

  • Resell proprietary member information

Unauthorized use may result in termination, legal action, damages, or other remedies.

44. Finder’s Fee and Referral Compensation

Where a separate written agreement, membership agreement, deal memorandum, invoice, referral agreement, or transaction-specific communication establishes a finder’s fee or referral fee, eZWay Network may be entitled to compensation from transactions resulting from introductions or opportunities facilitated through:

  • The eZWay platform

  • Membership networking

  • MPP events

  • The Wall of Fame

  • eZWay television

  • eZWay Magazine

  • Blogging

  • Media appearances

  • Direct introductions

  • eZWay contacts

  • eZWay affiliates

  • Social-media introductions

  • Related communications originating through eZWay

Any percentage, including a range such as 5% to 10% for standard participants or a separately negotiated percentage for upgraded members, must be confirmed in the applicable written agreement or transaction-specific communication.

No finder’s fee should be interpreted as automatically applying where prohibited by law or where licensing is legally required.


PART VIII — CONFIDENTIALITY AND INTELLECTUAL PROPERTY

45. Confidential Information

Confidential Information may include non-public:

  • Ideas

  • Concepts

  • Programs

  • Service models

  • Strategies

  • Marketing methods

  • Business plans

  • Databases

  • Contact information

  • Productions

  • Campaign methods

  • Technology

  • Software

  • Designs

  • Documents

  • Pricing

  • Financial information

  • Inventions

  • Copyrightable materials

  • Patentable materials

  • Trade secrets

  • Client information

  • Member information

  • Vendor relationships

  • Sponsor relationships

  • Media contacts

  • Business opportunities

Users, members, affiliates, joint ventures, contractors, and other parties accessing eZWay Network may not disclose Confidential Information to unauthorized third parties without express written permission.

46. Prohibited Disclosure and Copying

Prohibited conduct includes:

  • Electronic transmission of confidential materials

  • Photocopying

  • Unauthorized screenshots

  • Recording private meetings without permission

  • Detailed verbal disclosure

  • Written disclosure

  • Copying proposed services

  • Sharing significant idea details

  • Duplicating proprietary systems

  • Disclosing member or client information

  • Using confidential materials for a competing purpose

47. Ownership of Digital and Intellectual Property

eZWay Network’s platforms, directory listings, systems, media assets, brand materials, event content, training materials, designs, databases, business methods, and proprietary resources remain the property of eZWay Network or their respective owners.

Unauthorized use, reproduction, duplication, redistribution, sale, publication, scraping, reverse engineering, or commercial exploitation is prohibited.

48. User-Submitted Content

Users retain ownership of content they lawfully own and submit to the platform.

By submitting content for publication, promotion, profile display, event participation, campaign work, or media use, the user grants eZWay Network a non-exclusive license to host, reproduce, edit, format, distribute, display, promote, and use that content as reasonably necessary to provide the requested services.

The user represents that they have the rights and permissions necessary to submit the content.


PART IX — NON-CIRCUMVENTION AND PROTECTION OF RELATIONSHIPS

49. Non-Circumvention

This restriction is intended to prevent the unauthorized exploitation of proprietary introductions or Confidential Information.

The applicable duration, scope, geography, compensation terms, and covered relationships should be governed by the specific signed agreement between the parties.

50. Restricted Use of Proprietary Systems

During the relationship and for any enforceable period stated in a signed agreement, a member may not use eZWay Network’s Confidential Information to directly duplicate or replicate proprietary:

  • Consulting methods

  • Marketing techniques

  • Business systems

  • Training programs

  • Member databases

  • Campaign systems

  • Media relationships

  • Sponsor relationships

  • Service models

  • Internal business processes

Nothing in these terms prohibits lawful competition based on general skills, publicly available information, independent development, or experience that does not involve misuse of eZWay Network’s Confidential Information.

51. Duration

Any post-termination confidentiality, non-circumvention, non-solicitation, or restricted-use period must be interpreted only to the extent permitted by applicable law.

Where an executed agreement specifies a three-year or five-year period, that period applies only to the extent legally enforceable and reasonably limited to legitimate confidential information, proprietary relationships, or protected business interests.
