Mutual Non-Circumvention & Confidentiality Agreement
1. Mutual Confidentiality Agreement
Both parties (hereafter “The Company” and “The Event Planner”) agree to maintain the strict confidentiality of all proprietary, financial, strategic, business, and contact information shared between them, whether disclosed verbally, visually, electronically, or in writing. This includes, but is not limited to:
- Business plans, models, strategies, and concepts
- Customer or client data, lists, and lead sources
- Financials, forecasts, or investment materials
- Project ideas, designs, proposals, or IP
- Existing or future partner, sponsor, or vendor relationships
- Contact lists, organizational charts, or internal resources
Each party agrees not to disclose, share, reproduce, or use this information for any purpose outside of the agreed collaborative scope, without prior written consent from the other party.
2. Mutual Non-Circumvention Agreement
Both parties agree that for a period of three (3) years from the date of execution of this agreement, neither shall:
- Directly or indirectly circumvent the other party in business dealings;
- Initiate or continue contact with any third parties, vendors, clients, investors, funders, or partners introduced by the other, for the purpose of conducting business without the written consent and participation of the introducing party;
- Use the confidential relationships or resources introduced for personal gain or independent negotiation outside the agreed scope.
This includes all affiliates, representatives, agents, employees, consultants, or contractors of each party, who are expected to abide by the same terms.
3. Acknowledgement of Existing Relationships
Each party agrees to honor the existing professional relationships of the other, and not to interfere with or claim rights to relationships (including clients, accounts, or sponsors) that pre-existed this agreement. Exceptions shall be disclosed in writing and mutually acknowledged.
4. Ownership and Use of Information
All intellectual property, business concepts, and trade secrets created by either party prior to or outside the scope of the collaboration shall remain the sole property of that party. Any jointly developed materials shall be co-owned, unless otherwise agreed to in writing.
5. Enforcement & Legal Recourse
If either party breaches this mutual clause, the non-breaching party reserves the right to:
- Seek injunctive relief,
- Pursue financial damages,
- Recover all legal fees and related costs
through any court or arbitrator with jurisdiction.
6. Term & Survival
This clause shall remain in effect for three (3) years from the date of the agreement and shall survive any termination or expiration of the working relationship between the parties.
7. Mutual Respect & Intent
Both parties acknowledge that this agreement is entered into in good faith with a spirit of collaboration, trust, and mutual protection. The goal is to build together without overstepping, and to honor God, each other’s calling, and shared opportunities with integrity.
